FLIPKART DIGITAL GOODS

1. PARTIES AND APPLICABILITY

  1. These Terms and Conditions ("T&Cs") govern the purchase, activation, billing, renewal, and cancellation of the Google One digital subscription plan purchased together with an eligible new mobile phone (each, a "Subscription Plan") made available on Flipkart's platform — including the website www.flipkart.com, the Flipkart mobile application, and any other interface operated by Flipkart Internet Private Limited (collectively, the "Platform").

  2. The Subscription Plan covered under these T&Cs is made available in partnership with Google (the "Partner"), offering the Google One subscription that includes cloud storage, AI and other benefits ("Google One").

  3. By purchasing a Subscription Plan on the Platform, the customer ("You" or "Your") agrees to be bound by:

(a) these T&Cs;

(b) Flipkart's general Terms of Use and Privacy Policy, as published and updated on the Platform from time to time; and

(c) the applicable terms of service and privacy policy of the Partner in respect of the Subscription Plan You have purchased.

  1. In the event of any conflict or inconsistency between these T&Cs and the terms of any other communication, marketing material, or platform notification, these T&Cs shall take precedence to the extent of such inconsistency, unless expressly stated otherwise.

2. DEFINED TERMS

For the purposes of these T&Cs, the following expressions shall have the meanings assigned to them below, unless the context requires otherwise:

"Activation" means the process by which You log in to the Partner's platform through the redirect from Flipkart, following which the Subscription Plan becomes live and the Partner's services become accessible to You. Your subscription period begins from the date of Activation, not the date of purchase.

"Auto-Mandate" means a standing payment instruction — set up via UPI AutoPay or Credit/Debit Card standing instruction — authorising Flipkart Internet Private Limited to automatically deduct the applicable Renewal Amount from Your registered payment instrument at each renewal of the Subscription Plan.

"Billing Cycle" means the recurring period for which a Subscription Plan is valid, as selected by You at the time of purchase. Billing Cycles may be quarterly (3 months), half-yearly (6 months), or annual (12 months), depending on the Subscription Plan.

"Flipkart" means Flipkart Internet Private Limited, a company incorporated under the Companies Act, 2013, having its registered office at Buildings Alyssa, Begonia & Clover, Embassy Tech Village, Outer Ring Road, Devarabeesanahalli Village, Bengaluru – 560103, Karnataka, India.

"MRP" means the Maximum Retail Price of the Subscription Plan as declared by Flipkart on the Platform at any given time. The Auto-Mandate is set up at the MRP, which represents the maximum amount that may be authorised under the mandate.

"Partner" means Google, the digital service provider whose Subscription Plan is made available for purchase on the Platform.

"Partner Account" means the Google Account held by You with the Partner, to which the Subscription Plan is linked upon Activation. This account determines who receives and can access the benefits of the Subscription Plan.

"Renewal Amount" means the amount actually deducted from Your registered payment instrument at each renewal of the Subscription Plan. The Renewal Amount is the prevailing selling price of the Subscription Plan on the Platform at the time of deduction, which shall always be less than or equal to the MRP.

"Subscription Plan" means a digital subscription product available for purchase on the Platform, providing access to a Partner's digital services for a specified Billing Cycle, subject to these T&Cs.

"You / Your" means the individual customer who purchases a Subscription Plan on the Platform and whose Flipkart account is associated with the order.

3. ELIGIBILITY

  1. To purchase and avail a Subscription Plan, You must:

(a) be a registered user on the Flipkart Platform with a valid, verified account;

(b) be of legal age, i.e., 18 years of age or above;

(c) be located within the territorial limits of India at the time of purchase; and

(d) purchase the Subscription Plan in conjunction with an eligible new mobile phone purchase on the Platform ("Bundled Purchase"), where the Subscription Plan is made available as a bundled product at the point of sale of select mobile phones. Bundled Purchase is available, subject to Partner availability and Flipkart's eligibility criteria at the time of purchase.

  1. Availability of specific Subscription Plans, Billing Cycle options, and pricing may vary based on the mobile phone model being purchased and other eligibility criteria as determined by Flipkart and the Partner from time to time.

  2. Flipkart reserves the right to modify the eligibility criteria for Subscription Plans at any time. Customers who do not meet the eligibility criteria at the time of purchase will not be entitled to activate or avail the Subscription Plan.

4. HOW TO PURCHASE AND ACTIVATE A SUBSCRIPTION PLAN

  1. Step 1 — Choose Your Plan: While purchasing an eligible new mobile phone on the Platform, You may select a Subscription Plan from the options displayed on the product page or during the checkout process. The Subscription Plan, its Billing Cycle, and price will be clearly indicated before You confirm the selection.

  2. Step 2 — Complete Your Purchase: The Subscription Plan is purchased together with the mobile phone at checkout. The applicable price of the Subscription Plan will be added to the total order value. On successful payment, You will receive an order confirmation for both the mobile phone and the Subscription Plan. The Subscription Plan will be visible in the "My Orders" or "Subscriptions" section of Your Flipkart account.

  3. Step 3 — Activate Your Subscription: Your Subscription Plan will remain inactive until You complete the Activation step. To activate, navigate to "My Orders" or the Subscriptions section in Your Flipkart account and tap the "Activate" button against Your Subscription Plan. You will be redirected to the Partner's platform, where You must log in with Your Partner Account (Google Account) to complete Activation. Activation is available only after successful delivery of the mobile phone to Your doorstep. You may thereafter activate at any time at Your convenience. Your subscription period and Billing Cycle begin from the date of Activation, not from the date of purchase.

  4. Step 4 — Set Up Auto-Mandate: At the time of purchase or activation, You will be required to set up an Auto-Mandate via UPI AutoPay or Credit/Debit Card standing instruction. This Auto-Mandate authorises Flipkart to automatically deduct the Renewal Amount at the end of each Billing Cycle, ensuring uninterrupted access to the Subscription Plan.

  5. Activation - You will be able to activate your subscription only upon successful delivery of your mobile plan at your doorstep. In case of cancellation or return of your mobile, as applicable, your subscription plan cannot be activated, and you will receive a complete refund of the entire order amount, including both the mobile device and the bundled purchase of digital subscription.

There is no deadline by which You must complete Activation after purchase. However, Your subscription period — and any associated benefits from the Partner — will not commence until Activation is completed. Flipkart is not responsible for any delay in Activation caused by You.

5. SUBSCRIPTION PLANS AND PRICING

  1. Subscription Plans are available in the following Billing Cycle options, subject to Partner availability:

Partner

Available Billing Cycles

Google One

Quarterly (3 months), Half-Yearly (6 months), Annual (12 months)

  1. The price displayed on the Platform at the time of checkout is the selling price applicable to Your Subscription Plan for the first Billing Cycle. All prices are inclusive of applicable taxes unless stated otherwise.

  2. The first Billing Cycle of Your Subscription Plan may be offered at a promotional selling price. From the second Billing Cycle onwards, the Renewal Amount deducted at each renewal will be the prevailing selling price of the Subscription Plan on the Platform at the time of deduction. This Renewal Amount will always be less than or equal to the MRP of the Subscription Plan but may differ from the price paid in the first Billing Cycle.

  3. The Auto-Mandate is set up at the MRP of the Subscription Plan. This means the payment instrument authorisation amount shown to You at the time of mandate setup reflects the MRP. The actual Renewal Amount deducted at each cycle will be the prevailing selling price, which will always be less than or equal to the MRP.

  4. Flipkart reserves the right to revise the selling price of Subscription Plans at any time. You will be notified of any change in the Renewal Amount prior to the deduction for the applicable cycle. If You do not wish to continue at the revised price, You may cancel Your Subscription Plan in accordance with Clause 31 of these T&Cs before the next deduction date.

  5. All pricing on the Platform is in Indian Rupees (INR). Flipkart does not offer Subscription Plans in any currency other than INR. Any taxes or levies applicable under law shall be borne by You and will be included in the displayed price unless stated otherwise.

6. AUTO-PAYMENT MANDATE

6.1 Setup and Authorisation

  1. Setting up an Auto-Mandate is mandatory to purchase and continue a Subscription Plan. By setting up the Auto-Mandate, You irrevocably authorise Flipkart Internet Private Limited to present auto-debit requests against Your registered payment instrument at each renewal of the Subscription Plan.

  2. The Auto-Mandate may be set up using:

(a) UPI AutoPay: Registered in compliance with NPCI/BHIM UPI guidelines. The debit will appear on Your bank statement as a UPI AutoPay transaction initiated by Flipkart Internet Private Limited.

(b) Credit/Debit Card Standing Instruction: Registered as per Your card-issuing bank's recurring payment framework. You must ensure Your card supports recurring or standing instructions. Charges may appear on Your card statement as a recurring mandate presented by Flipkart Internet Private Limited.

  1. The mandate authorisation amount will be set at the MRP of Your selected Subscription Plan. The actual Renewal Amount deducted at each cycle will be the prevailing selling price (which will be ≤ MRP). You will not be charged more than the MRP under any circumstances through this mandate.

  2. The Auto-Mandate is specific to the Subscription Plan purchased. It cannot be transferred to a different Subscription Plan, Flipkart account, or Partner Account.

  3. In case You change or deactivate Your registered payment instrument, You may be required to set up the Auto-Mandate afresh. Failure to do so may result in mandate failure and suspension of the Subscription Plan.

6.2 Renewal Deductions

  1. Your Subscription Plan will automatically renew at the end of each Billing Cycle, and the Renewal Amount will be auto-deducted from Your registered payment instrument on or around the renewal date. Flipkart will endeavour to notify You prior to each renewal deduction; however, You are responsible for ensuring adequate balance or credit limit on Your registered payment instrument.

  2. The Renewal Amount for each cycle will be the prevailing selling price of the Subscription Plan on the Platform on the date of deduction. This amount will always be less than or equal to the MRP.

6.3 Mandate Failure and Retry

  1. If an auto-debit attempt fails due to insufficient funds, bank or card network decline, expired payment instrument, or any other reason, the system will automatically retry the deduction as per its internal retry policy. During the retry period, Your subscription access may be suspended.

  2. Access to the Subscription Plan will be restored automatically upon a successful deduction within the retry window. Flipkart will not be liable for any disruption to the Partner's services during the period of mandate failure and retry.

  3. If all retry attempts fail and the mandate deduction is not successful, Your Subscription Plan will lapse at the end of the current Billing Cycle.

6.4 Mandate Guardrails

  1. You agree and acknowledge the following guardrails in relation to the Auto-Mandate:

(a) The mandate is linked to Your Flipkart account and the specific Subscription Plan purchased. It will remain active until You cancel Your Subscription Plan on the Platform, or until it lapses due to mandate failure as described in Clause 28.

(b) You must ensure that the UPI ID or card registered as the payment instrument for the mandate is active and in good standing throughout the Billing Cycle.

(c) For UPI mandates, You must ensure that Your UPI app and bank account support UPI AutoPay and that the registered UPI ID has sufficient transaction limits to accommodate the Renewal Amount.

(d) For card mandates, You must ensure that Your card supports recurring/standing instructions and that the card has not expired. International cards or prepaid cards may not support standing instructions; Flipkart shall not be liable for any failure arising from unsupported card types.

(e) Flipkart shall not be liable for mandate failures arising from restrictions, technical errors, or policies imposed by Your bank, card network, UPI service provider, or payment instrument issuer.

(f) For Subscription Plans, the mandate can be cancelled only by cancelling the Subscription Plan on the Flipkart Platform, as described in Clause 31. Cancellation of the mandate directly through Your bank or UPI app, without cancelling the Subscription Plan on the Platform, may lead to unresolved subscription states; Flipkart shall not be liable for any service disruption arising from such an action.

7. CANCELLATION POLICY

  1. Pre-Activation Cancellation: A Subscription Plan purchased as part of a Bundled Purchase along with a mobile phone cannot be cancelled independently before Activation. The standard return and cancellation policy applicable to the mobile phone order does not extend to or cover the Subscription Plan. The Subscription Plan is a separate product and is non-cancellable once purchased, prior to Activation. If the mobile phone order is cancelled or returned before Activation, the Subscription Plan will also be cancelled and a full refund of the entire order amount (including the Subscription Plan) will be processed to Your original payment instrument. Once Activation is completed, the post-Activation cancellation policy in Clause 31 applies.

  2. Post-Activation Cancellation: Once a Subscription Plan has been Activated, You may cancel Your subscription at any time. Cancellation must be initiated by You through the Flipkart Platform — by navigating to "My Orders" or the Subscriptions section and selecting the cancellation option against Your active Subscription Plan. Requests for cancellation communicated directly to the Partner will not be accepted or processed by Flipkart.

  3. Upon cancellation of an active Subscription Plan:

(a) Your subscription will remain active and accessible until the end of the current Billing Cycle for which You have paid.

(b) The Auto-Mandate will be revoked immediately upon cancellation. You will not be charged for any subsequent Billing Cycle.

(c) No partial refund will be issued for the unused portion of the current Billing Cycle. Access to the Partner's services will continue until the end of the paid cycle, after which it will cease.

  1. Flipkart reserves the right to cancel or suspend a Subscription Plan in the event of misuse, fraudulent activity, violation of these T&Cs, or at the request of the Partner. In such cases, Flipkart will notify You through Your registered contact details.

  2. In the event Flipkart or the Partner discontinues a Subscription Plan for any reason, Flipkart will notify You in advance and will refund a pro-rated amount for the unused portion of the current Billing Cycle to Your original payment instrument, to the extent practicable.

8. REFUND POLICY

  1. Subscription Plans are non-refundable once purchased, except where the associated mobile phone order is cancelled or returned before Activation (in which case Clause 30 applies). Subject to the above, no refund will be issued for:

(a) a Bundled Purchase Subscription Plan that has been purchased but not yet Activated (except as provided in Clause 30);

(b) a Subscription Plan that has been Activated, whether or not the Partner's services have been accessed;

(c) a Subscription Plan cancelled mid-tenure — the cancellation will take effect at the end of the current Billing Cycle, with no refund for the remaining period; or

(d) a Subscription Plan cancelled on account of violation of these T&Cs or the Partner's terms of service.

  1. Notwithstanding Clause 35, a refund of the excess or erroneously charged amount will be initiated by Flipkart in the following limited circumstances:

(a) a technical failure on Flipkart's Platform results in a duplicate deduction being made from Your payment instrument for the same Billing Cycle; or

(b) a deduction is made in excess of the Renewal Amount due to a system error on Flipkart's end.

  1. Eligible refunds under Clause 36 will be processed to the original payment instrument used for the transaction within 5–7 business days of the refund being approved. The actual credit timelines may vary depending on Your bank or payment instrument issuer.

  2. Refund requests must be raised through Flipkart Customer Support. Refund requests made directly to the Partner will not be processed by Flipkart.

9. ACTIVATION, PARTNER ACCOUNT, AND ACCESS TO DIGITAL GOODS

  1. A Subscription Plan provides You access to the digital services or products offered by the Partner, as described on the Platform. The nature, scope, features, and availability of these services are determined entirely by the Partner and are subject to the Partner's own terms and policies.

  2. Your Subscription Plan is activated when You successfully log in to the Partner's platform through the redirect from Flipkart and complete all steps required by the Partner to enable the subscription on Your Partner Account. Your Billing Cycle begins from this date.

  3. The Partner Account used at the time of Activation is permanently and irrevocably linked to Your Subscription Plan. You cannot change, transfer, or reassign the Subscription Plan to a different Partner Account after Activation. You are solely responsible for ensuring that You Activate the Subscription Plan with the correct Partner Account.

  4. Flipkart facilitates the purchase and billing of the Subscription Plan and is not a provider of the underlying digital services. The following responsibilities rest solely with the Partner:

(a) delivery and availability of the digital services (storage, AI features, content, etc.);

(b) service uptime, performance, and feature availability;

(c) any changes to the scope or features of the digital service; and

(d) compliance with applicable laws in relation to the provision of the digital service.

  1. Flipkart shall not be responsible or liable for:

(a) any interruption, suspension, or unavailability of the Partner's services;

(b) any change in the features, storage limits, or benefits offered under the Partner's subscription;

(c) loss of data, content, or files stored on the Partner's platform; or

(d) any technical issue on the Partner's platform that prevents You from accessing the subscribed services.

  1. For issues related to the Partner's services — including but not limited to storage sync, content access, feature availability, or account management — please contact the Partner's support directly. For billing, mandate, renewal, and subscription management issues on the Flipkart Platform, please contact Flipkart Customer Support through the standard helpline available on the Platform.

10. LIMITATION OF LIABILITY

  1. Flipkart's role under these T&Cs is limited to that of a facilitator of the Subscription Plan purchase and billing. Flipkart does not provide the underlying digital services and makes no representation or warranty regarding the quality, availability, continuity, or fitness for purpose of the Partner's services.

  2. In no event shall Flipkart be liable to You for any special, indirect, incidental, punitive, or consequential damages — including but not limited to loss of data, loss of access to digital services, business interruption, or any other loss — arising out of or in connection with:

(a) the purchase, activation, use, or inability to use a Subscription Plan;

(b) any failure, interruption, or modification of the Partner's services;

(c) any mandate failure, payment decline, or lapse of the Subscription Plan;

(d) any loss of data stored on the Partner's platform upon expiry or cancellation of the Subscription Plan; or

(e) any action or inaction of the Partner in relation to the delivery of the subscribed services.

  1. Flipkart's total liability to You under these T&Cs, in any event, shall not exceed the amount paid by You for the Subscription Plan for the current Billing Cycle in which the liability arises.

  2. You hereby release and hold harmless Flipkart Internet Private Limited, its officers, directors, employees, affiliates, and agents from and against any claims, damages, liabilities, or expenses arising out of Your purchase, activation, or use of a Subscription Plan, including any dispute between You and the Partner.

11. DATA SHARING AND PRIVACY

  1. By purchasing a Subscription Plan, You acknowledge and consent to Flipkart sharing the following information with the applicable Partner for the purpose of enabling and administering Your subscription:

(a) Your Flipkart Order ID and Subscription Plan details;

(b) Your registered mobile number and email address; and

(c) any other information required by the Partner to activate and maintain the Subscription Plan.

  1. All personal data collected and shared in the course of the purchase and activation of a Subscription Plan shall be handled in accordance with Flipkart's Privacy Policy (available at www.flipkart.com/s/privacypolicy) and the applicable Partner's privacy policy. You are encouraged to review the Partner's privacy policy before completing Activation.

  2. By purchasing a Subscription Plan, You consent to being contacted by Flipkart and/or the applicable Partner through calls, SMS, email, or app notifications for the purpose of subscription management, renewal reminders, and service-related communications.

Flipkart processes Your personal data in accordance with the Digital Personal Data Protection Act, 2023 and the rules made thereunder, to the extent applicable. You have the right to access, correct, and request erasure of Your personal data, to withdraw Your consent to its processing at any time (without affecting the lawfulness of processing carried out before such withdrawal), and to raise grievances regarding Flipkart's processing of Your personal data, in each case in the manner set out in Flipkart's Privacy Policy. Please note that withdrawal of consent may affect Flipkart's ability to activate, administer, or continue Your Subscription Plan.

12. MODIFICATIONS AND DISCONTINUATION

  1. Flipkart reserves the right to modify these T&Cs at any time. Material changes will be communicated to You through the Platform or Your registered contact details. Continued use of the Subscription Plan after such notification will be deemed acceptance of the revised T&Cs.

  2. Flipkart reserves the right to modify, suspend, or discontinue the Subscription Plan at any time, with or without prior notice, subject to applicable law. Where practicable, Flipkart will provide advance notice of any discontinuation and will process eligible refunds as described in Clause 35.

  3. The Partner reserves the right to modify the features, benefits, storage limits, or availability of its services at any time, subject to its own terms. Flipkart shall not be liable for any such modifications made by the Partner.

13. INDEMNIFICATION

  1. You agree to indemnify, defend, and hold harmless Flipkart Internet Private Limited and its affiliates, officers, directors, employees, and agents against any claims, suits, actions, proceedings, damages, liabilities, costs, and expenses (including reasonable legal fees) arising out of or in connection with:

(a) Your violation of these T&Cs;

(b) Your violation of any applicable law or regulation;

(c) Your misuse of the Subscription Plan or the Partner's services; or

(d) any misrepresentation, fraud, or wilful misconduct by You in connection with the purchase or use of a Subscription Plan.

14. GENERAL TERMS

  1. These T&Cs shall be governed by and construed in accordance with the laws of India. The courts and tribunals at Bengaluru, Karnataka, shall have exclusive jurisdiction to settle any dispute, claim, or controversy arising out of or in connection with these T&Cs or any Subscription Plan purchased on the Platform.

  2. If any provision of these T&Cs is held to be invalid, illegal, or unenforceable by a court of competent jurisdiction, that provision shall be deemed severed, and the remaining provisions shall continue in full force and effect.

  3. Flipkart shall not be liable for any failure or delay in performing its obligations under these T&Cs where such failure or delay arises from causes beyond its reasonable control, including acts of God, natural disaster, war, terrorism, civil unrest, governmental action, epidemic or pandemic, strikes, failure of the internet or telecommunications networks, or any outage, suspension, or discontinuation of services by a Partner ("Force Majeure Event"). Flipkart's obligations under these T&Cs shall stand suspended for so long as the Force Majeure Event subsists.

  4. This document is an electronic record within the meaning of the Information Technology Act, 2000, and the rules thereunder, as applicable. It is generated by a computer system and does not require a physical or digital signature to be valid and binding. Any notice to be given by You to Flipkart under these T&Cs shall be in writing and sent to Flipkart's registered office address set out in Clause 2 (Defined Terms), or to such other address as Flipkart may notify from time to time. Any notice from Flipkart to You will be sent to Your registered e-mail address or mobile number, or through an in-app or Platform notification, and shall be deemed received on the date of transmission.

  5. These T&Cs constitute the entire agreement between You and Flipkart with respect to the Subscription Plans and supersede all prior or contemporaneous communications, representations, or agreements relating thereto.

  6. Subscription Plans are valid only within the territorial limits of India. Flipkart does not guarantee availability or functionality of Partner services outside India.

  7. For any grievances, disputes, or queries in relation to Your Subscription Plan, please contact Flipkart through the standard customer helpline available on the Platform. Flipkart will endeavour to resolve your query within a reasonable time.

You will not be able to activate your Google One susbcription in this case.

Q13. How is my Google One subscription charged if I purchase my mobile device on EMI?

Your Google One subscription is bundled directly into the total transaction amount and converted into Equated Monthly Installments (EMI) along with your mobile device. Instead, the combined total for both the phone and the Google One plan will be divided across your chosen EMI tenure according to your bank’s terms.
