1. This offer is being run by Spotify. on www.flipkart.com, Flipkart mobile app and Flipkart mobile site (collectively “Platform”), which Platform is owned and operated by Flipkart Internet Private Limited (“Flipkart”, “We” or “Our”).

2. By participating in this Offer (defined below), the user (“You” or “Your”) agrees to be bound by:

   1. these terms and conditions (“T&C”);
   2. the Terms of Use, Privacy Policy, and other relevant documentation including any modifications, alterations or updates thereof, that are published on the Platform; and
   3. all applicable terms and conditions of the Brand.

1. The Offer will commence at 00:00 hrs on 22/07/2023 Spotify and end at 23:59 hrs 30/09/2024 on Spotify(“Offer Period”).

2. To participate in the Offer You must to do/ fulfill the following:

1. In the event You cancel any order placed during the Offer, You shall not be eligible for the Offer.

2. There will be a separate contract between You andSpotify as per the policies ofSpotify in relation to Products and Flipkart shall not be a party to the same.
3. In case of any dispute or difference arising concerning the Offer or any alleged defect in the Products or deficiency of service availed, the same shall be resolved by Spotify and Flipkart shall not be a party to the same.
4. Issuance of this offer does not amount to endorsement of the Products sold on the Platform including but not limited to Spotify and Flipkart shall not be liable for any missed products, quality, defect in Products or deficiency in the services.
5. All statutory taxes on the Offer shall be payable by you.Spotify or Flipkart will not be responsible / liable for the same. The Offer/Prize shall be subject to the Income-Tax Act, 1961 and all disbursements shall be subject to TDS, as applicable.
6. This Offer is subject to the prevailing laws of India. In case of Offer and / or any products, for which Foreign Exchange is required to be purchased, You will have to bear the same.
7. No other offers will be in conjunction with this Offer.
8. This Offer is funded from a special promotional budget created bySpotify and is subject to change at any time at the sole discretion of the management of Spotify.
9. All decisions pertaining to the Discounts for this Offer are at the sole discretion of Spotify.
10. Discount shall not be settled with cash in lieu by Flipkart orSpotify and are not transferable.
11. The Offer shall be subject to force majeure events renderingSpotify unable to extend the Offer, for reasons beyond Spotify’s control, such as, but not limited to Acts of God, acts of civil or military authorities, acts of public enemy, terrorist attacks, war, threat of war, destruction of network, strikes, lock-out, riots, civil disturbances, political disturbances, insurrections, accidents, explosions, fire, earthquake, flood, epidemics, acts of government, agencies or officers, volcano, volcanic ash, natural calamities, or any other legitimate cause restraining performance and on occurrence of such an event, the Offer may be completely or partially withdrawn at the discretion of Spotify And/ or Flipkart.
12. This Offer is valid for limited inventory and subject to availability.
13. Spotify And Flipkart reserves the right at any time to change, modify, withdraw, extend or terminate this Offer at their discretion, without any prior notice and without any liability or obligation in this regard.
14. This Offer cannot be clubbed with any other promotion/discount of Spotify.
15. You are not bound in any way to participate in this Offer. Any participation is voluntary and the Offer is being made purely on a best effort basis.
16. Spotify And Flipkart reserve the right to disqualify You from the benefits of this Offer, if any fraudulent activity is identified as being carried out for the purpose of availing the benefits under the said Offer.
17. Flipkart shall not be liable for any failure by Spotifyto provide Offer benefits/ Discounts to You. Spotifyshall indemnify and hold Flipkart harmless against any claims by You in this regard.
18. You hereby agree to indemnify and keep Flipkart andSpotify harmless against all damages, liabilities, costs, expenses, claims, suits and proceedings (including reasonable attorney’s fee) that may be suffered by Flipkart as a consequence of (i) violation of terms of this T&C by You; (ii) violation of applicable laws; (iii) any action or inaction resulting in willful misconduct or negligence on Your part.
19. These T&C shall be governed in accordance with the applicable laws in India. Courts at Bangalore shall have the exclusive jurisdiction to settle any dispute that may arise under this T&C.
20. Any query regarding this Offer will be entertained until 30/09/2024. Post such date, Flipkart and Spotifywill not entertain any correspondence or communication regarding this Offer from any persons.
21. This document is an electronic record in terms of Information Technology Act, 2000, and the Rules there under as applicable and the amended provisions pertaining to electronic records in various statutes as amended by the Information Technology Act, 2000. This electronic record is generated by a computer system and does not require any physical or digital signatures.
